Terms and Conditions

Welcome to Professional Data Projects (“PDP,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of all products, services, content, websites, applications, and software that PDP provides (collectively, the “Services”).
By accessing or using our Services, you (“you,” “your,” or “Customer”) confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Services.
1. Definitions
“Account” means a unique account created for you to access our Services.
“Content” means any information, text, graphics, data sets, software code, videos, or other materials uploaded, downloaded, or appearing on the Services.
“Project Deliverables” means the work product(s) that PDP agrees to provide as described in an applicable order, proposal, statement of work (“SOW”), or other written agreement (“Order”).
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use our Services.
3. Account Registration and Security
You agree to provide accurate, current, and complete information during registration and to keep it updated.
You are responsible for safeguarding your login credentials and for all activities that occur under your Account.
Notify us immediately of any unauthorized use or security breach.
4. Scope of Services
PDP provides data‑engineering‑related consulting, training courses, digital products, and analytics solutions. Specific Services and deliverables will be detailed in an Order. PDP may engage qualified subcontractors to fulfill its obligations.
5. Fees, Invoicing, and Payment
Fees and payment schedules are set out in the applicable Order.
Invoices are due within 7 calendar days of the invoice date unless otherwise specified.
Late payments accrue interest at 1.5 % per month (or the maximum rate permitted by law) until paid.
All fees are exclusive of applicable taxes (GST, VAT, withholding, etc.), which are your responsibility.
6. Intellectual Property
Pre‑existing IP. Each party retains all rights in intellectual property it owned prior to the engagement.
Deliverables. Upon full payment, PDP grants you a worldwide, non‑exclusive, royalty‑free license to use the Project Deliverables for your internal business purposes.
Restrictions. You may not reverse‑engineer, resell, or publicly distribute the Deliverables without PDP’s prior written consent.
7. Confidentiality
Each party (“Receiving Party”) shall keep confidential all non‑public information disclosed by the other party (“Disclosing Party”) and will use such information only for fulfilling its obligations under these Terms or an Order. The Receiving Party will protect the information using the same degree of care it uses to protect its own confidential information (but not less than reasonable care).
8. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy and applicable data‑protection laws. You represent that you have obtained all necessary rights and consents to provide any personal data to us.
9. Warranties
PDP warrants that it will perform Services in a professional and workmanlike manner and that Deliverables will materially conform to the specifications in the Order for 7 days after delivery. To the extent permitted by law, PDP disclaims all other warranties, express or implied, including fitness for a particular purpose and non‑infringement.
10. Limitation of Liability
To the maximum extent permitted by law:
PDP’s total cumulative liability for any claim arising out of or relating to the Services will not exceed the total fees you paid to PDP for the specific Order giving rise to the claim.
In no event will PDP be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill.
11. Indemnification
You agree to defend, indemnify, and hold harmless PDP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your misuse of the Services; (b) your violation of these Terms; or (c) your violation of any law or third‑party rights.
12. Termination
By Either Party. Either party may terminate an Order or these Terms on 30 days’ written notice if the other party materially breaches and fails to cure within that period.
Effect of Termination. Upon termination, all rights and licenses granted to you will cease, and you must immediately pay any outstanding amounts owed to PDP. Sections 6, 7, 10, 11, 13, and 14 survive termination.
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict‑of‑laws principles. The courts located in Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
14. Force Majeure
PDP will not be liable for any delay or failure to perform due to events beyond its reasonable control, including natural disasters, acts of government, strikes, pandemics, or internet outages.
15. Amendments
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website or by email. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
16. Entire Agreement
These Terms, together with any Orders and referenced policies, constitute the entire agreement between you and PDP and supersede all prior agreements or understandings, written or oral, relating to the subject matter.
